Terms and Conditions of Use of the myLoulis App and the myLoulis Club Loyalty Programme
Welcome to myLoulis.
Loulis Food Ingredients S.A. (hereinafter “Loulis Food Ingredients”) hereby informs users about the purpose of the myLoulis application and the services it provides. As part of the services offered through the Application, a loyalty programme may also be made available to customers/users of the Application, in accordance with the specific terms set out herein. Loulis Food Ingredients has created the myLoulis Club loyalty programme (hereinafter the “Loyalty Programme”), through which members are provided with special discounts and/or offers, as well as privileged access to information about new products, participation in competitions, events and other benefits. The purpose of the programme is, on the one hand, to reward Loulis Food Ingredients customers/members and, on the other hand, to improve the products and services provided.
The purpose of these Terms is to provide visitors/users with the necessary information regarding the terms and conditions (hereinafter the “Terms”) governing the use of the myLoulis application (hereinafter the “Application”), which every visitor/user must carefully review and, in the event of disagreement, refrain from any use thereof. These Terms also cover participation in the Loyalty Programme, where the user makes use of the relevant functionality.
The purpose of the Application, which is owned by Loulis Food Ingredients, is to provide information regarding the services offered by the company, as well as to enable the use of such services in accordance with the terms and conditions set out below. Every visitor (hereinafter the “user”) must carefully review these terms before using any service of the Application and, if they disagree with them, must refrain from using the services. Acceptance of these Terms and Conditions by selecting the relevant tick box is a prerequisite for using the services provided. The services of the Application may also include participation in a customer loyalty programme, through which customers/users may collect points and receive information about available benefits or rewards.
REGISTRATION PROCESS
The Application enables natural persons and legal entities that are professionals in the bakery and confectionery sector to submit their orders to Loulis Food Ingredients and to receive information through the Application regarding the progress of their orders and their delivery times.
More specifically, interested professionals must download the Application to the device they use. If the professional is already a customer of Loulis Food Ingredients, they enter their email address and receive a password, which they may subsequently change in order to log into the Application.
If the professional is not already a customer of Loulis Food Ingredients, they must complete the registration form by providing the company name, the full name of the employee completing the registration form, the company’s Tax Identification Number (TIN), email address and contact telephone number. Loulis Food Ingredients will subsequently contact them, after which they will provide their email address and receive a password, which they may subsequently change in order to log into the Application.
MYLOULIS CLUB LOYALTY PROGRAMME
PURPOSE AND SCOPE
The myLoulis Club Loyalty Programme (hereinafter the “Loyalty Programme”) is provided by Loulis Food Ingredients through the Application and is available to all its customers who have an active user account in the Application.
Participation in the Programme requires acceptance of these Terms and the linking of the user to the customer details/TIN maintained in Loulis Food Ingredients’ systems.
Participation in the Loyalty Programme takes place within the context of the user’s professional/commercial activity and not in their capacity as a consumer.
The Loyalty Programme is valid exclusively within Greece and applies to purchases made through Loulis Food Ingredients’ official sales channels, both online and offline.
LINKING POINTS TO TIN AND CUSTOMER ACCOUNT
Points and the associated benefits are awarded and tracked on the basis of the customer account/TIN linked to the user of the Application.
Points are not independently linked to an individual and may not be transferred to another TIN, account or third party, unless expressly provided otherwise by Loulis Food Ingredients.
EARNING POINTS
Points are awarded through purchases of selected products, as determined from time to time by Loulis Food Ingredients.
The calculation of points may include both purchases made electronically through the Application and purchases made outside the Application (offline), provided that they are recorded and matched to the relevant customer account/TIN.
Loulis Food Ingredients reserves the right to introduce additional methods of earning points in the future through the Application or other communication channels.
TIMING OF AWARD AND ADJUSTMENT OF POINTS
Points may appear in the user’s account following the completion and finalisation of the relevant purchase, transaction or action, in accordance with the data maintained in Loulis Food Ingredients’ systems.
In the event of cancellation, return, order correction, incorrect recording or any other change to the relevant data, Loulis Food Ingredients reserves the right to adjust, deduct or cancel the corresponding points.
VALIDITY OF POINTS
Points are valid for eighteen (18) months from the date on which they are credited to the customer account/TIN.
Following the expiry of this period, older points expire gradually on a monthly basis, according to the month in which they were awarded, while newer points arising from subsequent purchases or other eligible activities remain available until the expiry of their respective validity periods.
Points expire automatically and no prior notification to the user is required.
REDEMPTION OF POINTS AND GIFTS
Points may be redeemed exclusively through the Application and only for gifts or benefits included in the Programme’s available list of gifts at the relevant time.
Through the Application, the user may select the gift they wish to set as their target and may view the points they have accumulated, as well as the number of points still required to redeem the specific gift.
The availability, type, conditions and number of points required for each gift may be changed at the discretion of Loulis Food Ingredients.
DELIVERY OF GIFTS
Gifts are dispatched or delivered to the beneficiary on the basis of the details provided in the Application, within a reasonable period following redemption.
The user is responsible for ensuring that the delivery details are accurate and complete. Loulis Food Ingredients shall not be liable for delays or inability to deliver resulting from incorrect or incomplete details or from circumstances outside its sphere of responsibility.
Any shipping costs or restrictions, as well as the geographical delivery area, where applicable, shall be communicated to the user through the Application prior to redemption.
TAXES AND CHARGES
Any taxes, duties or other charges that may arise from the acquisition or use of gifts or benefits under the Programme shall be borne by the beneficiary, unless otherwise provided by law.
NATURE OF POINTS
Points do not constitute money, have no independent monetary value, cannot be exchanged for cash, do not accrue interest and may not be transferred or assigned to third parties, unless expressly provided otherwise by Loulis Food Ingredients.
There is not necessarily a fixed or predetermined ratio between purchase value and points, as the rules governing the award of points are determined from time to time by Loulis Food Ingredients.
TIERS AND CATEGORIES OF PARTICIPATION
Loulis Food Ingredients reserves the right to introduce tiers, benefit categories or additional participation rules in the future, which shall apply in accordance with the specific terms communicated through the Application or by any other appropriate means.
INFORMATION ON POINTS BALANCE AND GIFT TARGET
Through their profile in the Application, users may view the total balance of points they have accumulated.
Furthermore, on the page of the gift they have selected as their target, users may see how many additional points are required to redeem that specific gift.
The points balance and related information displayed in the Application are provided for informational purposes and are based on data contained in Loulis Food Ingredients’ systems.
MISUSE OF THE PROGRAMME
Loulis Food Ingredients may suspend or cancel participation in the Programme and may deduct or cancel points or benefits in the event of a breach of these Terms, abusive or fraudulent use of the Application or Programme, artificial generation of points, attempted redemption without entitlement, or any action contrary to the purpose of the Programme.
TERMINATION OF PARTICIPATION BY THE USER
The user may terminate their participation in the Programme at any time by submitting a relevant request through the Application or via the contact details of Loulis Food Ingredients.
Upon termination of participation, any unredeemed points shall cease to be valid and may no longer be redeemed, unless otherwise determined by Loulis Food Ingredients.
INACTIVE ACCOUNT OR TERMINATION OF PARTICIPATION
If a customer/user account becomes inactive, is deactivated, ceases to be eligible, or the business relationship with Loulis Food Ingredients is terminated, the user may no longer redeem points.
In such cases, Loulis Food Ingredients may restrict, suspend or cancel participation in the Programme, as well as any unredeemed points or selected gift targets.
INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
The content of the Application is the exclusive property of Loulis Food Ingredients and may not be used, reproduced, copied, sold or otherwise distributed, in whole or in part, without its prior written permission.
Such content may include, indicatively and without limitation, texts, trademarks, graphics, images, logos, trade names, distinctive signs, graphic representations, photographs, audio clips, services provided, etc. (hereinafter the “Content”).
More specifically, without written permission, it is prohibited to modify, copy, distribute, make available, transmit, display, perform, reproduce, publish, license, edit, extract, delete or otherwise use, exploit or commercially utilise the Content, or to create derivative works, transfer or sell any information, software, product or service and, generally, any Content developed or created for the purposes of or in connection with the operation of the Application.
Furthermore, any names, logos, trade names and distinctive signs included in the Application constitute either registered intellectual property rights, such as trademarks, or distinctive signs of Loulis Food Ingredients or other companies affiliated with it and are protected by the relevant European and Greek legislative provisions concerning trademarks and industrial and intellectual property.
Loulis Food Ingredients reserves every right to take any action necessary to protect all of its intellectual and industrial property rights.
Accordingly, without prior written permission, the modification, publication, transmission, transfer, reproduction, distribution, presentation or other use, in whole or in part, of the Content of this Application, by any method or means and for commercial or other purposes, is prohibited.
USER OBLIGATIONS
The user is required to comply with and not violate the rules and provisions of applicable European and Greek legislation.
The user is also required not to use this Application to publish, transmit or otherwise make available content that is unlawful, threatening, offensive or defamatory, or to express hostility, racial or other discrimination; infringe any patent, trademark, copyright, intellectual property right or other proprietary right of third parties; or transmit software viruses or any other codes, files or programs designed to damage, destroy or interfere with the operation of any computer software or hardware.
The user is required to provide accurate, correct, complete and up-to-date information regarding their personal details and the service they provide. Furthermore, the user must immediately inform Loulis Food Ingredients of any changes to such information so that it can be kept continuously up to date.
Each user acknowledges that they are solely responsible for any content submitted through the Application, including the legality, reliability, suitability, authenticity and intellectual property rights of any such material.
It is prohibited to submit, send, distribute or otherwise publish through the Application any Content that constitutes libel, defamation, insult, threat, infringement of personality rights or personal data, abuse, an unlawful act, incitement to commit any offence, or conduct contrary to accepted standards of morality or commercial practice.
Furthermore, the user must not act in bad faith or in a misleading manner, or engage in confrontation in any way with other users of the Application. The user must refrain from acts or omissions contrary to applicable legislation or accepted standards of morality and commercial practice and must maintain all information as reliable, secure and confidential at all times.
The user is required to comply with the above instructions throughout the entire period of use of the Application.
If Loulis Food Ingredients becomes involved in any dispute or is required to pay compensation of any kind to third parties for reasons attributable to a breach by the user of the obligations set out herein, Loulis Food Ingredients may seek compensation for any loss or damage suffered.
Specifically with regard to the Loyalty Programme, users are required to use points, gifts and benefits in accordance with these Terms and must not attempt to artificially generate, transfer, alter, unlawfully use or abusively redeem points, gifts or other benefits.
DISCLAIMER AND LIMITATION OF LIABILITY
Loulis Food Ingredients makes every reasonable effort to ensure that the information and all Content of the Application are accurate, valid, complete, clear and correct, so that users may obtain as complete a picture as possible of the products and services offered.
Any business or other decisions made on the basis of such information are made at the user’s sole responsibility, and Loulis Food Ingredients shall not be obliged to cover or compensate for losses or discrepancies arising from the use of information provided through the Application.
Each user uses the Application and accesses the content posted therein on their own initiative and at their sole responsibility, with full knowledge of the above, which they accept in their entirety.
The user agrees to indemnify, defend and hold harmless Loulis Food Ingredients and its affiliated companies, as well as their directors, executives, employees, consultants, representatives and partners, from any third-party claim, liability, damages and/or costs that may arise as a result of or in connection with any culpable unlawful or contractual breach in the user’s use of the Application or any culpable breach by the user of any of these Terms of Use.
Loulis Food Ingredients does not represent or warrant that the functions contained in the Application will operate continuously or without errors, that defects will be corrected, or that the Application or the server that makes it available is free from viruses or other harmful components.
Loulis Food Ingredients shall not be liable for any loss or damage caused by a cyberattack, viruses or other technologically harmful material that may infect users’ software or data as a result of their use of the Application or the downloading of any material posted on the Application or on any website linked to it.
Participation in the Loyalty Programme does not create any entitlement on the part of the user to a specific gift, benefit, service or financial consideration.
Loulis Food Ingredients shall not be liable for the unavailability of gifts, changes to the gift list, changes to the points required, technical malfunctions, technical difficulties affecting the availability of the Application, or temporary inability to display the points balance, provided that it makes reasonable efforts to ensure the proper operation and updating of the Application.
CONTACT FORM AND PERSONAL DATA PROTECTION
The content of communications submitted through the contact form is strictly confidential.
The collection of such information enables Loulis Food Ingredients solely to communicate with the user of the Application in connection with the dispatch of their order.
Loulis Food Ingredients recognises the importance of protecting the personal data of users of the Application.
Detailed information regarding the protection of personal data and users’ rights is available in the Privacy Statement posted in the relevant section of the Application.
Specifically for the operation and management of the Loyalty Programme, Loulis Food Ingredients may process information relating to the customer account/TIN, online and offline purchases matched to the account, points awarded or expired, gift targets selected and redemptions made through the Application, in accordance with Loulis Food Ingredients’ Privacy Statement.
THIRD-PARTY WEBSITES
Through specific links, hyperlinks or banners, users may be redirected through the Application to third-party websites.
The content of such websites is determined under the sole responsibility of their respective owners.
Under no circumstances shall Loulis Food Ingredients be liable for the content, correctness, legality, completeness, currency or accuracy of the information provided on such third-party websites.
GOVERNING LAW – JURISDICTION
These Terms are governed by Greek law.
The courts of Athens shall have jurisdiction over any dispute arising in connection with the application of these Terms.
MISCELLANEOUS PROVISIONS
Any failure or delay by Loulis Food Ingredients to exercise its statutory or contractual rights arising from these Terms shall not be construed as a waiver of such rights or result in any weakening thereof. Such rights may be exercised at any subsequent stage at the reasonable discretion of Loulis Food Ingredients.
All of the above Terms are agreed to be essential terms and may be amended in writing.
If any provision of these Terms is unlawful, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between us regarding any use of the Application by you.
These Terms, together with any more specific rules posted in the Application in relation to the Loyalty Programme, comprehensively govern the user’s participation in the Programme, the earning, validity, expiry and redemption of points, as well as the provision of gifts and other benefits through the Application.
AMENDMENT OF TERMS
Loulis Food Ingredients reserves the right to amend the Terms of Use of the Application, in whole or in part, at any time whenever deemed necessary, without prior notice.
In accordance with the principles of good faith and accepted commercial practice, users are required to regularly check for any amendments in accordance with these Terms.
Each user is required and undertakes to regularly review these Terms of Use for any changes and updates.
Any amendment shall take effect immediately upon notification, which may take place, indicatively, by posting the new Terms in the relevant section of the Application.
Specifically with regard to the Loyalty Programme, Loulis Food Ingredients reserves the right to amend, suspend or discontinue the Programme, the methods of earning points, eligible products, the list of gifts, the points required for redemption or any other specific rule of the Programme whenever deemed necessary.
Loulis Food Ingredients may also introduce new methods of earning points or new functionalities within the Application in the future, without this creating any entitlement on the part of the user to the continuation of previous terms, gifts or benefits.
The Loyalty Programme is provided voluntarily by Loulis Food Ingredients as an additional benefit to its customers.
In any event of amendment, suspension, discontinuation or termination of the Loyalty Programme, at the sole discretion of Loulis Food Ingredients, as well as in the event of restriction, suspension or cancellation of participation in accordance with these Terms, the user shall have no claim, demand or right to compensation against Loulis Food Ingredients, acknowledging that the Programme is a benefits programme provided at the latter’s discretion.
